TERMS AND CONDITIONS TO JOIN

Membership / Franchisee / Branch LOI Agreement

Ceci Educare Oy / Finland Academy of International Business] ("Party A") and (Party B) country branch / Member/ Franchisee of Finland Academy Of International Business enters into an LOI agreement.


Purpose
The purpose of this LOI is to outline any preliminary understanding between Party A and Party B regarding any previously signed / verbally agreed cooperation between Finland Academy of International Business / Ceci Educare Oy and Party B enumerated above. Previous partnerships with all international companies outside the EU were legally annulled on immediate effect due to changes & upgrades of Services from Ceci Educare Oy. Partnerships have been of no effect as of 15th April 2024.This LOI serves as a foundation for negotiating a formal agreement and other arrangements of services under the various units seasonally and where needed. 


Non-Disclosure Agreement (NDA)
a. Both parties agree to maintain the confidentiality of all discussions and materials shared during the negotiation process.
b. Confidential information includes but is not limited to technical, commercial, financial, operational, marketing, or personnel information disclosed by either party.
c. The obligation of confidentiality shall not apply to information that is publicly available or independently obtained without breach of this agreement.
d. This NDA clause shall remain in effect regardless of whether a formal agreement is reached.


Non-Binding Provision
a. It is understood and agreed by both parties that no binding obligation is intended or implied by this LOI. No binding agreement shall exist between Party A and Party B regarding the subject matter of this LOI, except as expressly agreed in a subsequent definitive agreement duly executed by both parties.
b. Either party may withdraw from this LOI and negotiations at any time without liability or obligation to the other party.


Exclusivity
It is not in the interest of Ceci Educare Oy to restrict Party B for any third party agreements in the interest of Party B on the same subject matter. However , details such as our company logos, company details and the like can not be used by any third party agreement between party B and possible third parties. Our partners logos in Europe & in the UK, membership logs in Europe & in the UK , are prohibited to be used by party B in any of their services. Logos of Ceci Educare Oy & logos of Finland Academy of International Business can be used in matters that relate directly to and from our services. 


Next Steps
The party(s) can commence negotiations to reach a definitive agreement based on the principles outlined in this LOI where applicable . Such negotiations shall exclude all previous discussions and agreements. Party B can register on membership levels. 


Practical Operations 


Financial Matters
 We shall invoice all members through stripe safe secure payment under our company

Branch companies have the permission to plan their own course costing / pricing against the costing of the parent company in Finland. Education can be offered online or in person and resource persons or teaching team shall include both party A and party B respectively. 

Membership is on a yearly subscription. Membership / Registration fees need to be paid on time. 


Governing Law
This LOI shall be governed by EU law.

We hold the right to sue and fine any company / individual found to mislead clients using our company certification / logo / our EU / UK partner’s & membership logos and other details.
